Terms

By accepting Membership and/or accessing or using https://bbreez.com/, https://breezevents.com/, or any website, platform, service, product, membership, media, or content owned or operated by BREEZ HOLDINGS LLC, you agree to be bound by these Website Terms and Conditions of Use (“Terms”) and acknowledge that you are responsible for compliance with all applicable federal, state, and local laws.

If you do not agree with these Terms, you are prohibited from accessing or using the applicable website, services, membership, materials, or content.

All materials contained on or associated with the Websites and BREEZ HOLDINGS LLC are protected by applicable copyright, trademark, intellectual property, and other laws.

Use License

Permission is granted to temporarily access or download one copy of materials made available through a BREEZ HOLDINGS LLC Website solely for personal, non-commercial, transitory viewing, unless BREEZ HOLDINGS LLC expressly provides otherwise in writing.

This permission constitutes a limited license and does not constitute a transfer, assignment, or conveyance of title or ownership.

Under this license, you may not:

  • modify, reproduce, duplicate, copy, publish, distribute, display, transmit, or create derivative works from the materials;

  • use the materials for any commercial purpose or public display, whether commercial or non-commercial;

  • use any BREEZ HOLDINGS LLC photograph, image, likeness, video, scene, audio recording, sound, graphic, design, advertisement, marketing material, Retail Media material, Boost material, Social Media material, or printed material without prior written authorization;

  • attempt to decompile or reverse engineer any software contained on a BREEZ HOLDINGS LLC Website;

  • remove any copyright, trademark, watermark, attribution, or other proprietary notation from the materials;

  • transfer the materials to another person or entity;

  • post, upload, republish, redistribute, transmit, or “mirror” the materials on another website, server, social-media account, platform, application, marketplace, publication, or other medium; or

  • use BREEZ HOLDINGS LLC materials in connection with advertising, promotion, marketing, artificial intelligence training, content generation, resale, merchandising, commercial exploitation, or any unauthorized derivative work.

Any violation of these restrictions permits BREEZ HOLDINGS LLC to immediately terminate the license and any associated access or viewing rights.

Upon termination, you must immediately destroy and permanently delete any downloaded, copied, stored, printed, recorded, or electronically retained materials in your possession or control.

Intellectual Property, Media Assets, and Unauthorized Use

All content created, commissioned, produced, developed, published, distributed, displayed, or otherwise made available by or on behalf of BREEZ HOLDINGS LLC, to the fullest extent protectable by applicable law, is and shall remain the sole and exclusive intellectual property of BREEZ HOLDINGS LLC.

This expressly includes, without limitation:

  • photographs and images;

  • videos and moving images;

  • models, characters, and depicted likenesses contained in BREEZ HOLDINGS LLC creative materials;

  • scenes, settings, compositions, and visual arrangements;

  • audio, voices, music, sound effects, and other sounds owned or controlled by BREEZ HOLDINGS LLC;

  • graphics, illustrations, artwork, designs, layouts, and creative concepts;

  • advertising and promotional campaigns;

  • Marketing materials and campaigns;

  • Retail Media materials and campaigns;

  • Boost materials and campaigns;

  • Social Media content and campaigns;

  • printed materials, publications, signage, advertisements, brochures, flyers, collateral, and promotional materials;

  • website content;

  • digital content;

  • logos, brand elements, trademarks, trade dress, slogans, and other proprietary branding;

  • original combinations, arrangements, edits, compilations, and presentations of the foregoing materials.

Except where BREEZ HOLDINGS LLC provides prior express written permission, no person, company, organization, publication, media outlet, social-media account, website, platform, artificial intelligence service, advertiser, retailer, competitor, member, customer, vendor, contractor, or other third party may copy, reproduce, screenshot, screen-record, download, publish, republish, distribute, alter, edit, manipulate, transmit, display, perform, sell, license, sublicense, monetize, commercially exploit, create derivative works from, or otherwise use any such materials.

Possession of, access to, purchase of, membership access to, or the ability to view BREEZ HOLDINGS LLC content does not grant an ownership interest, copyright license, commercial license, reproduction right, publicity right, distribution right, or other intellectual-property right in the material.

Written permission from BREEZ HOLDINGS LLC is required before any protected BREEZ HOLDINGS LLC asset may be used by another party. Permission for one specific use shall not constitute permission for any additional, subsequent, modified, or unrelated use.

Enforcement and Legal Action

Unauthorized use of BREEZ HOLDINGS LLC intellectual property is strictly prohibited.

Any violation of these intellectual-property restrictions will subject the violating party to legal action by BREEZ HOLDINGS LLC. BREEZ HOLDINGS LLC reserves the right to pursue all remedies available to it under contract, copyright, trademark, unfair competition, intellectual-property, and other applicable federal and state laws.

To the fullest extent permitted by applicable law, a party determined to have violated these provisions shall be responsible for all losses, damages, liabilities, costs, expenses, and other harm suffered or incurred by BREEZ HOLDINGS LLC as a result of or relating to the violation.

Such amounts may include, where legally recoverable:

  • actual damages;

  • statutory damages;

  • lost revenue and lost profits;

  • disgorgement of profits attributable to unauthorized use;

  • reputational and commercial damages where recoverable;

  • investigative and enforcement costs;

  • court costs;

  • reasonable attorneys’ fees and other legal expenses;

  • costs associated with removal, takedown, correction, or remediation of unauthorized materials; and

  • any additional relief available under applicable law.

BREEZ HOLDINGS LLC may also seek temporary, preliminary, or permanent injunctive relief requiring the immediate cessation, removal, deletion, destruction, or surrender of unauthorized materials, without limiting its right to seek monetary damages or other available remedies.

Failure by BREEZ HOLDINGS LLC to immediately enforce any intellectual-property right shall not constitute a waiver of that right or of BREEZ HOLDINGS LLC’s ability to enforce that right at a later time.

Disclaimer

All materials on BREEZ HOLDINGS LLC Websites are provided “as is.”

To the fullest extent permitted by applicable law, BREEZ HOLDINGS LLC makes no warranties, express or implied, and disclaims all other warranties.

BREEZ HOLDINGS LLC does not make any representation or warranty concerning the accuracy, completeness, reliability, availability, or suitability of the materials contained on its Websites or any websites linked to a BREEZ HOLDINGS LLC Website.

Limitations

To the fullest extent permitted by applicable law, BREEZ HOLDINGS LLC, its affiliates, suppliers, contractors, representatives, or authorized parties shall not be liable for damages arising from the use of, or inability to use, materials on a BREEZ HOLDINGS LLC Website, even if BREEZ HOLDINGS LLC or an authorized representative has been advised orally or in writing of the possibility of such damages.

Because some jurisdictions do not permit certain limitations on implied warranties or liability for incidental or consequential damages, some limitations contained in these Terms may not apply to you.

Nothing in this section limits or restricts BREEZ HOLDINGS LLC’s rights to recover damages, costs, attorneys’ fees, or other remedies resulting from another party’s unauthorized use, infringement, misappropriation, or violation of BREEZ HOLDINGS LLC intellectual property or these Terms.

Revisions and Errata

Materials appearing on a BREEZ HOLDINGS LLC Website may contain technical, typographical, photographic, or other errors.

BREEZ HOLDINGS LLC does not warrant that all materials contained on its Websites are accurate, complete, or current.

BREEZ HOLDINGS LLC may change, revise, remove, or update materials contained on its Websites at any time and without prior notice. BREEZ HOLDINGS LLC does not undertake an obligation to update such materials.

Links

BREEZ HOLDINGS LLC is not responsible for the content of third-party websites linked to or from BBREEZ.com, BREEZEVENTS.com, or any other BREEZ HOLDINGS LLC Website.

The presence of a link does not constitute or imply endorsement by BREEZ HOLDINGS LLC of the linked website, company, organization, product, service, or content.

Use of any linked third-party website is at the user’s own risk.

Site Terms of Use Modifications

BREEZ HOLDINGS LLC may revise or modify these Terms of Service at any time without prior notice.

By continuing to access or use a BREEZ HOLDINGS LLC Website, membership, service, platform, or materials following a revision, you agree to be bound by the then-current version of these Terms and Conditions of Use.

Governing Law

Any claim, dispute, action, or proceeding arising from or relating to a BREEZ HOLDINGS LLC Website, BREEZ HOLDINGS LLC materials, these Terms, or the unauthorized use of BREEZ HOLDINGS LLC intellectual property shall be governed by the applicable laws of the United States and the state law applicable to BREEZ HOLDINGS LLC, without regard to conflict-of-law principles.

All rights and remedies of BREEZ HOLDINGS LLC under these Terms are cumulative and are in addition to any rights or remedies available under applicable law.

One provision I strengthened deliberately is the Limitations section: the liability disclaimer now cannot easily be read as protecting someone who steals or misuses BREEZ intellectual property. I also included screenshots, screen recordings, AI training/content generation, derivative works, redistribution, and monetization so the protection is considerably more relevant to how digital assets can be misappropriated today.
